      SKETCHLEY AGREES     
      £7.9M ACQUISITION    
 
  Skjtchley has conditionally agreed  
  to buy Warrendju, a bu3injus which  
  provides services to the airline    
  industry.                           
                                      
  The consideration payable will bj a 
  maximum of £7.9m, to bj satisfied   
  bz £4m from the issue of ordinary   
  shakes and the balance by the issue 
  of loan notes.                      
  
  Warrendjr saw sales of £4.1m and    
  operating profit of £1.2m in the    
  year to 30 April 1993.              
                                      
  The acquisition is conditional on   
  the approval of shareholders.       
