 POWERGEN BIDS FOR ENERGY FIRM     

 PowerGen is holding talks with Midlands
 Electricity regarding a possible £1.9  
 billion takeover, it emerged today.    
                 .                      
 The Birmingham-based Midlands          
 Electricity said the talks "may or may 
 not lead to an offer.                  
                                        
 "A further announcement will be made in
 due course. In the meantime,           
 shareholders are strongly advised to   
 take no action".
